1. Introduction and Acceptance

Welcome to MK TechLAB. These Terms and Conditions ("Terms") govern your use of our website (www.mktechlab.co.uk) and the services we provide, including web development, digital marketing, and custom software development.

By accessing our website, requesting a consultation, or purchasing our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

2. Services Offered

MK TechLAB provides the following services:

2.1 Managed Web Development Packages

  • Monthly subscription-based website development and maintenance
  • Hosting, SSL certificates, backups, and security updates
  • Content updates as specified in your chosen package
  • Contract Term: 12-month service agreement required
  • Early Termination: 50% of remaining monthly fees (minimum £350)

2.2 Digital Marketing Services

  • Social media management and content creation
  • Paid advertising campaign management
  • SEO optimization and analytics
  • Contract Term: Cancel anytime with 30 days notice
  • No long-term commitment or cancellation fees

2.3 Custom Software Development

  • Bespoke web applications and software solutions
  • API integrations and custom functionality
  • Fixed-price quotes with clear deliverables
  • Contract Term: Project-specific agreements

3. Pricing and Payment Terms

3.1 Pricing

  • All prices are in British Pounds Sterling (GBP) and exclude VAT unless stated otherwise
  • Prices are subject to change with 30 days notice for existing clients
  • Setup fees are one-time charges paid upfront before project commencement
  • Monthly subscription fees are billed in advance at the start of each month

3.2 Payment Schedule

Managed Packages:

  • Setup fee: Due before project start
  • Monthly fees: Billed on the 1st of each month via direct debit or standing order
  • First month: Pro-rated based on service start date

Custom Projects:

  • Deposit: 30% upfront to commence work
  • Progress payments: 40% upon agreed milestones
  • Final payment: 30% upon project completion and before launch

3.3 Late Payments

  • Payment is due within 7 days of invoice date
  • Late payments may incur a £25 administration fee
  • Interest may be charged at 8% per annum above Bank of England base rate on overdue amounts
  • We reserve the right to suspend or terminate services for non-payment after 14 days
  • Suspended websites will display a holding page; full service resumes upon payment

3.4 Payment Methods

  • Bank transfer (BACS) - preferred method
  • PayPal (may incur additional processing fees)
  • Card payments (Visa, Mastercard)
  • Direct Debit or Standing Order (for monthly subscriptions)

4. Intellectual Property Rights

4.1 Managed Web Packages (12-Month Agreement)

  • During Service: Website design, code, and structure remain property of MK TechLAB
  • Your Content: You retain full ownership of all content you provide (text, images, logos, media)
  • Upon Cancellation:
    • You receive a complete backup of your content (text, images, media)
    • You receive an HTML/static export of your website for reference
    • The website, source code, and design are NOT transferred to you
    • Custom source code and proprietary design remain our intellectual property
    • You may not reuse our custom code or design without written permission
    • The live website will be taken offline upon service termination
  • After 12 Months: Option to purchase full ownership for negotiated fee

4.2 Custom Development Projects

  • Upon Full Payment: You receive full ownership of the commissioned work
  • Source Code: Transferred to you with appropriate licenses
  • Third-Party Components: Subject to their respective licenses (open-source, commercial, etc.)
  • Documentation: Provided for custom features and functionality

4.3 Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to:

  • Display completed work in our portfolio and marketing materials
  • Use project screenshots, case studies, and testimonials
  • Mention your business name as a client reference

If confidentiality is required, please notify us in writing before project commencement.

5. Client Responsibilities

As a client, you agree to:

5.1 Content and Materials

  • Provide all required content, images, and materials in a timely manner
  • Ensure all provided content is legal, accurate, and does not infringe third-party rights
  • Obtain necessary licenses, permissions, and releases for all content
  • Take responsibility for any legal issues arising from your content

5.2 Communication and Feedback

  • Respond to our communications within 5 business days
  • Provide clear, consolidated feedback during review stages
  • Designate a primary point of contact for project communications
  • Notify us promptly of any issues or concerns

5.3 Account Security

  • Maintain confidentiality of all login credentials and access codes
  • Notify us immediately of any unauthorized access or security breach
  • Use strong passwords and change them regularly
  • Not share admin access with unauthorized third parties

5.4 Acceptable Use

You must not use our services to:

  • Host, distribute, or link to illegal, harmful, or offensive content
  • Send spam, malware, or engage in phishing activities
  • Violate any applicable laws or regulations
  • Infringe intellectual property rights of third parties
  • Attempt to hack, disrupt, or damage our services or infrastructure

Violation of Acceptable Use: We reserve the right to immediately suspend or terminate services without refund if you breach acceptable use policies.

6. Service Delivery and Timelines

6.1 Project Timelines

  • Estimated timelines are provided in good faith but are not guaranteed
  • Delays caused by client (late content, delayed feedback) extend timelines accordingly
  • We will notify you promptly of any anticipated delays
  • Force majeure events (natural disasters, pandemics, etc.) may affect delivery

6.2 Revisions and Changes

  • Each project includes specified number of revision rounds
  • Additional revisions beyond agreed scope will be quoted at £75/hour
  • Major scope changes require new quotation and may affect timeline
  • All change requests must be submitted in writing (email)

6.3 Project Sign-Off

Projects require formal sign-off before launch. By approving the project, you confirm:

  • You have reviewed and approved all deliverables
  • Content is accurate and ready for publication
  • You authorize us to make the project live
  • Final payment is due before launch

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

  • Services will be performed with reasonable skill and care
  • Work will be substantially as described in proposals/agreements
  • We have the right to provide the services offered
  • We will comply with applicable UK laws and regulations

7.2 Service Disclaimers

While we strive for excellence, we cannot guarantee:

  • 100% Uptime: We target 99.9% uptime but cannot guarantee uninterrupted service
  • Error-Free Service: Software may contain bugs; we commit to fixing issues promptly
  • Specific Results: SEO rankings, traffic, or sales outcomes cannot be guaranteed
  • Third-Party Services: We're not responsible for failures of third-party platforms (hosting, payment processors, etc.)
  • Browser Compatibility: We test on current major browsers but cannot support outdated/legacy versions

7.3 "As Is" Provision

Except as expressly stated in these Terms, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

8.1 Direct Damages

Our total liability for any claims arising from our services shall not exceed the total amount you have paid us in the 12 months preceding the claim.

8.2 Indirect Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Damage to reputation or goodwill
  • Cost of substitute services

8.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under UK law

9. Termination and Cancellation

9.1 Termination by Client

Web Development Packages (12-Month Agreement):

  • You may cancel with written notice
  • Early termination fee: 50% of remaining monthly fees (minimum £350)
  • Setup fees are non-refundable
  • Access to website terminates upon cancellation
  • Content backup provided upon request

Digital Marketing Services:

  • Cancel anytime with 30 days written notice
  • No early termination fees
  • Service continues through 30-day notice period
  • Final invoice covers services through notice period

9.2 Termination by MK TechLAB

We may terminate services immediately if you:

  • Fail to pay invoices after 14 days and reminder
  • Breach acceptable use policies
  • Provide false or fraudulent information
  • Engage in abusive behavior toward our staff
  • Violate these Terms repeatedly

9.3 Effect of Termination

Upon termination:

  • All outstanding payments become due immediately
  • Access to services is suspended or revoked
  • Data backups provided as per service agreement
  • Confidential information must be returned or destroyed
  • Sections of these Terms that should survive termination (payment obligations, IP rights, liability) remain in effect

10. Confidentiality

Both parties agree to keep confidential information disclosed during our business relationship private and secure. Confidential information includes:

  • Business strategies, plans, and financial information
  • Technical data, source code, and proprietary methods
  • Customer lists and pricing information
  • Login credentials and access codes
  • Any information marked as confidential

Confidentiality obligations do not apply to information that is:

  • Publicly available through no fault of the receiving party
  • Required to be disclosed by law or court order
  • Already known to the receiving party before disclosure
  • Independently developed without use of confidential information

11. Dispute Resolution

11.1 Informal Resolution

In the event of any dispute, we encourage you to contact us first at info@mktechlab.co.uk. We commit to making reasonable efforts to resolve disputes amicably and in good faith.

11.2 Mediation

If informal resolution fails, both parties agree to attempt mediation before pursuing litigation.

11.3 Governing Law and Jurisdiction

  • Governing Law: These Terms are governed by the laws of England and Wales
  • Jurisdiction: Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales
  • Language: All agreements, communications, and proceedings shall be in English

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • For material changes, we will notify you via email at least 30 days in advance
  • Existing service agreements continue under original terms unless mutually agreed otherwise
  • Continued use of our services after changes constitutes acceptance of new Terms

If you do not agree to modified Terms, you may terminate services as outlined in Section 9.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any service-specific agreements and proposals, constitute the entire agreement between you and MK TechLAB and supersede all prior communications and agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

13.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations to any successor or affiliated entity.

13.5 Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including acts of God, war, strikes, natural disasters, pandemics, or government actions.

13.6 Third-Party Rights

These Terms do not create any rights for third parties under the Contracts (Rights of Third Parties) Act 1999.
